Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the TerraBrains website and application (the “Service”). They work alongside our Privacy Policy and Data Processing Addendum.
1. Acceptance
By creating an account, starting a trial, or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” means that organisation.
2. The service
TerraBrains is a software platform for geotechnical engineering workflows — field data capture, lab test entry, geotechnical analyses, AI-assisted review, and the preparation and signing of reports, with a tamper-evident SHA-256 audit chain. We may add, change or remove features over time.
3. Accounts & security
You are responsible for the accuracy of your account details, for keeping your credentials secure, and for all activity under your account. Enable MFA where offered. Tell us promptly at security@terrabrains.ai if you suspect unauthorised access.
4. Professional responsibility
TerraBrains is a software tool — not an engineering services firm.
All geotechnical analyses, interpretations, parameter selections, and signed or stamped reports are the sole professional responsibility of the qualified, licensed engineer who reviews, approves and signs them. TerraBrains does not provide engineering services, professional engineering advice, or a professional opinion, and nothing in the Service constitutes such advice. Calculations and AI suggestions are aids that must be independently checked against the governing codes and sound engineering judgement before use. You are responsible for verifying all inputs, assumptions and outputs. To the maximum extent permitted by law, TerraBrains is not liable for any engineering decision, design, or reliance placed on the outputs of the Service.
5. Acceptable use
You agree not to:
- use the Service unlawfully, or to store data you have no right to process;
- attempt to disrupt, overload, or circumvent the Service’s security or tenant isolation;
- reverse-engineer or tamper with the audit chain, or attempt to defeat access controls;
- resell or provide the Service to third parties except as permitted by your plan;
- upload malware or content that infringes the rights of others.
6. Trials, billing & cancellation
- New accounts include a 1-month free trial. A valid payment card is required to start the trial.
- You can cancel at any time before the trial ends to avoid being charged.
- After the trial, your selected plan renews and bills automatically until cancelled.
- Pricing is in US dollars (USD). Billing is handled by our payment processor; taxes may apply based on your location.
- Fees are non-refundable except where required by law. Annual prepay options may be offered at a discount.
7. Intellectual property
You own your data.As between you and us, you retain all rights to the project, geotechnical and report content you upload or generate (“Customer Data”). You grant us a limited licence to host, process and display Customer Data solely to provide the Service.
We own the platform. TerraBrains, the software, and all related intellectual property remain ours. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
8. Third-party services
The Service relies on third-party providers (including Supabase, AWS, and our payment processor). Your use may be subject to their terms, and we are not responsible for their acts or omissions beyond our reasonable control.
9. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that outputs are fit for any particular engineering purpose. See the professional-responsibility section above.
10. Limitation of liability
To the maximum extent permitted by law, TerraBrains will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim. Nothing limits liability that cannot be limited by law.
11. Indemnity
You agree to indemnify and hold TerraBrains harmless from claims arising out of your Customer Data, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
12. Termination & data export
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. Before you leave, you can export your Customer Data from within the app; after account deletion your personal data is anonymised as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the Republic of India, and the courts of Bengaluru, Karnataka, India will have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence.
14. Changes to these terms
We may update these Terms as the product and our legal review evolve. Material changes will be announced in-app or by email, and the “last updated” date above will change. Continued use after changes take effect means you accept them.
